1. Introduction
These Terms and Conditions (hereinafter, "the Terms") govern access to and use of the Filnet platform (filnet.app) and the advisory, incorporation, management and maintenance services for subsidiaries in Europe offered by Filnet (hereinafter, "Filnet", "we" or "the Provider").
By registering, accessing or using any of our services, you accept these Terms in full. If you do not agree with them, you should not use the platform.
The Provider's legal form is currently in the process of incorporation. This section will be updated once the commercial registry registration is completed.
2. Description of the service
Filnet is a digital platform that connects Spanish SMEs with local advisors in France, Germany, Portugal and Italy to facilitate the following services:
- Information and comparison: free access to country guides, a cost calculator and a market comparator.
- Subsidiary incorporation: one-off paid service that includes the assignment of a local advisor, notarial and registry management, opening of a bank account and tax registration.
- Maintenance: recurring monthly service of accounting, payroll, tax filing and ongoing support.
The prices of each service are detailed on the Plans & pricing page and in the platform's cost calculator. All prices include VAT where applicable, unless otherwise stated.
3. Registration and user account
To contract the Incorporation and Maintenance services it is necessary to create a user account. When you register, you agree to:
- Provide truthful, accurate and complete information.
- Keep your contact and company details up to date.
- Not share your access credentials with third parties.
- Notify us immediately of any unauthorised use of your account.
You are responsible for all activities that occur under your account. Filnet shall not be liable for losses or damages arising from the breach of these obligations.
4. Incorporation services — scope and limitations
The subsidiary Incorporation service includes exclusively the procedures described in the corresponding country guide and in the personalised quote accepted by the client. In particular, Filnet:
- Does coordinate and manage the notarial, registry, banking and tax procedures necessary for the incorporation of the subsidiary.
- Does assign a local advisor who speaks Spanish and acts as the single point of contact throughout the process.
- Does not provide legal or tax advice that substitutes for that of an independent lawyer or tax advisor.
- Does not guarantee incorporation timelines. The indicated timelines are estimates based on experience and may vary due to causes beyond Filnet's control (public registries, notaries, banks, authorities).
5. Payments and billing
Paid services are invoiced in accordance with the accepted quote:
- Incorporation: one-off payment. An invoice is issued upon completion of each milestone of the process (start of procedures, effective incorporation).
- Maintenance: recurring monthly billing. You can cancel at any time from your panel, with effect at the end of the current billing period.
Non-payment of any invoice may lead to the temporary suspension of services until the payment is regularised.
6. Cancellation and refunds
- Explorar plan (free): you can cancel your account at any time.
- Incorporation service: once the procedures have started (submission of documentation to a notary or registry), no refunds of the management fees will be made. Third-party costs (notarial fees, registry fees, sworn translations) are non-refundable in any case as they are outsourced services.
- Maintenance service: you can cancel at any time. Cancellation will take effect at the end of the current billing period. No partial refunds will be made for months already billed.
7. Client responsibility
As a client, you are responsible for:
- Providing truthful, complete documentation within the deadlines requested by the assigned advisor.
- Verifying that the legal form and structure chosen suit your business and tax needs.
- Complying with all legal and tax obligations of the subsidiary once incorporated.
- Maintaining the confidentiality of sensitive information shared through the platform.
8. Limitation of liability
Within the limits permitted by applicable law, Filnet shall not be liable for:
- Indirect, incidental or consequential damages arising from the use of the platform.
- Delays or breaches caused by force majeure, including but not limited to: strikes, natural disasters, pandemics, cyberattacks or unforeseen legislative changes.
- Business decisions taken by the client based on the information provided by the platform.
Filnet's total liability to the client, for any reason, shall not exceed the total amount of fees actually paid by the client to Filnet in the twelve (12) months preceding the event giving rise to the claim.
9. Intellectual property
All intellectual and industrial property rights over the platform, its source code, design, databases, trademarks, logos and content belong to Filnet or have been licensed in its favour. Their reproduction, distribution or modification without prior written authorisation is prohibited.
10. Modifications to the Terms
Filnet reserves the right to modify these Terms at any time. Changes will come into effect upon their publication on the Website. For subscription services, we will notify you of changes at least 30 days in advance by email. If you do not agree, you may cancel your subscription before the changes take effect.
11. Governing law and dispute resolution
These Terms are governed by Spanish law. For the resolution of any dispute, the parties submit to the courts and tribunals of Valencia (Spain), expressly waiving any other jurisdiction.
However, and in accordance with Regulation (EU) 524/2013, the European Commission provides an online dispute resolution platform available at https://ec.europa.eu/consumers/odr.
