The 7 steps for your GmbH
Shareholder management
Although shareholders may reside abroad, Germany requires certain documentary requirements. We manage your NIE/identification and the shareholders’ documentation.
Name reservation and articles
We check the availability of the name and draft the company agreement (Gesellschaftsvertrag) of the GmbH.
Minimum capital and bank account
The GmbH requires a minimum capital of €25,000 (although only €12,500 is paid in at the start). We open the company’s bank account for the deposit.
Notarial certification
We formalise the incorporation before a German notary, with the signature of the articles.
Commercial register (Handelsregister)
We register the GmbH in the German commercial register, after which the company becomes fully operative.
Tax and employer registrations
We obtain the tax number, the VAT (Umsatzsteuer) and the employer registration with the tax and social security authorities.
You start operating
You receive the registered GmbH, the deposited capital and your local advisor in Spanish.

Bank account and capital
The GmbH requires a minimum share capital of €25,000, of which €12,500-€13,999 is paid in at the start. The German bank account is opened for the deposit.

The GmbH is the most credible legal form in Europe for holdings: grouping subsidiaries under a GmbH holding simplifies the management of holdings and the tax-neutral distribution of dividends.
