The 6 steps for your SRL / SRLS
Choice of form
We choose between SRL (several shareholders) or the simplified SRLS (single shareholder), which you can incorporate with from €1 of capital.
Name reservation and articles
We check the name and draft the deed of incorporation (atto costitutivo) and the articles of the SRL.
Capital and bank account
The SRL allows capital from €1 (SRLS) or whatever you set. We open the company’s bank account for the deposit.
Digital certification and registration
We obtain the digital signature (visura) and register the company in the Companies Register (Registro delle Imprese).
Tax registrations
We obtain the fiscal code and the Italian VAT number (Partita IVA), and file the initial declarations.
You start operating
You receive the registered SRL, the VAT and your local advisor in Spanish.
Three points that raise the most questions
NIF / NIE of the partners
For the SRL, shareholders may reside abroad. We manage the Italian fiscal code of the shareholders and the necessary documentation.
Bank account and capital
Italy allows incorporating an SRL with from €1 of capital (SRLS) or with whatever capital you prefer. The company’s bank account is opened within the process.
Buying portfolio companies
The SRL is flexible for group structures: it allows grouping holdings of several subsidiaries and simplifying dividend management between companies of the same parent.
