The 7 steps for your SAS / SASU
Choice of form
We choose between SASU (single shareholder) or SAS (several shareholders), the structure recommended for its flexibility for directors.
Company name reservation
We check and reserve the company name before the INPI (the French register of trademarks and companies).
Documentation and articles (Kbis)
We prepare the articles and obtain the Kbis (French registration certificate) that certifies the legal existence of the company.
Capital and bank account
In France the capital is free from €1, but we recommend contributing the planned amount. We open the company’s bank account.
Publication and registration
We publish the legal notice in an authorised newspaper and register the company in the Trade and Companies Register (RCS).
Tax registrations
We obtain the SIREN/SIRET number, the intra-community VAT number and file the initial declarations.
You start operating
You receive the registered company with the Kbis, VAT and your local advisor in Spanish.
Three points that raise the most questions
NIF / NIE of the partners
The managing director of the SAS (president) does not need to reside in or be a French national. We manage their documentation and the Kbis so they can operate from Spain.
Bank account and capital
France allows incorporating a SAS with free capital from €1. The company’s bank account is opened within the process to operate and receive payments.
Buying portfolio companies
The SAS is a very flexible structure for holding companies too: it allows grouping holdings of several subsidiaries and simplifying dividend distribution between companies of the group.
