Process to open your company in España

From the partners' NIF to the bank account and tax registration. We explain each step and manage it all for you.

The 6 steps for your SL / SLU

Company name certificate

We request the negative certificate of company name before the Central Commercial Register to ensure the name is not duplicated.

Execution of the deed

We formalise the public deed of incorporation of the SL before a notary, with the articles and the share split.

Capital contribution

The SL requires a minimum capital of €3,000 which is deposited in the company’s bank account.

Commercial Register

We register the company in the provincial Commercial Register, after which it acquires legal personality.

Tax registrations

We obtain the definitive CIF/NIF, the census registration with the tax authorities and the VAT number. If you are going to hire, the employer registration.

You start operating

You receive the registered company, the CIF, the bank account and your local advisor in Spanish.

Three points that raise the most questions

NIF / NIE of the partners

Foreign shareholders must have an NIE (foreigner identification number). We process the necessary documentation for all shareholders.

Bank account and capital

The Spanish SL requires a minimum share capital of €3,000, which is paid into the company account upon incorporation. The bank account is opened within the process.

Buying portfolio companies

The SL is the standard vehicle to operate in Spain with limited liability. With the reduced rates for new companies and the parent-subsidiary framework, it also serves as the parent of a subsidiary group.
